IMAS initiated the acquisition of Honour Point, a Birmingham-based corporate insurance broker and risk management consultant, by Stackhouse Poland for an undisclosed sum. Established in 1996, Honour Point serves mid to large corporate and global clients in the publishing, arts, heritage property and charity sectors.
IMAS acted for Thomas Miller, a major independent and international provider of insurance, professional and investment services, in its acquisition of a majority shareholding in Osprey Holdings, the marine and aerospace MGA.
Thomas Miller had identified Osprey as a potential acquisition to broaden its insurance services and utilised IMAS’ practical experience and knowledge of the London insurance market to conduct the initial analysis of the business, engage with Osprey’s management to understand their requirements and then formulate an acquisition proposal that met each party’s requirements, including valuation.
Following signing of Heads of Agreement IMAS oversaw the due diligence process and advised Thomas Miller on the commercial terms for the sale and purchase agreement.
